Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Online eMenu FZ-LLC, a company incorporated in the Dubai Multi Commodities Centre (DMCC), Dubai, United Arab Emirates ("Online eMenu", "we", "us", or "our").
By accessing or using the Online eMenu platform, website, applications, APIs, or any related services (collectively, the "Services") available at onlineemenu.com, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Services.
Important: If you do not agree to these Terms in their entirety, you are not permitted to use the Online eMenu platform or any of its features.
Service Description
Online eMenu provides a cloud-based software-as-a-service (SaaS) platform purpose-built for restaurants, cafés, cloud kitchens, hotels, and food & beverage retail businesses. The platform is built on and powered by Odoo, an open-source enterprise application suite.
The Services include, but are not limited to:
- Cloud Point of Sale (POS): A fully cloud-based POS system supporting dine-in, takeaway, and delivery workflows with Arabic and English interface support.
- Online Ordering: Branded web ordering, WhatsApp ordering, and integration with third-party delivery aggregators (e.g. Talabat, Deliveroo, Careem Now).
- Customer Relationship Management (CRM): Customer profiles, order history, segmentation, and marketing automation tools.
- Loyalty Program: Points-based loyalty, rewards management, and customer retention tools.
- QR Code Digital Menu: Contactless, real-time digital menu accessible via QR code, with multi-language and multi-currency support.
- Kitchen Display System (KDS): Digital order display for kitchen stations with real-time order routing.
- Reporting & Analytics: Revenue reporting, staff performance, inventory tracking, and business intelligence dashboards.
- Table Management: Interactive floor plans, reservation management, and table status tracking.
Service Level Agreement (SLA)
Online eMenu targets a platform uptime of 99.9% per calendar month, excluding scheduled maintenance windows and events outside our reasonable control (force majeure). Scheduled maintenance is performed during low-traffic windows and communicated at least 48 hours in advance where practicable.
Uptime is calculated as: (Total minutes in month − Downtime minutes) / Total minutes in month × 100. Downtime means the Services are completely unavailable for all users and is not caused by factors outside Online eMenu's control.
The 99.9% SLA is included in all paid subscription plans. During a free trial period, uptime guarantees apply on a best-effort basis without formal SLA commitments.
Subscription & Payment
Access to the full Online eMenu platform requires a paid subscription. Subscriptions are offered on monthly or annual billing cycles. Annual subscriptions are billed upfront and typically offered at a discounted rate compared to the equivalent monthly billing.

All prices are shown in USD and exclude applicable taxes (e.g. UAE VAT at 5%). Enterprise pricing is available on request — contact sales@onlineemenu.com for a custom quote.
Payment Processing
Payments are securely processed by Stripe, a globally certified payment processor compliant with PCI DSS Level 1. Online eMenu does not store your full card details on our servers. Stripe's terms of service apply to payment processing.
Online eMenu does not charge any transaction fees on orders processed through the platform. Your Stripe or payment gateway fees, if applicable, are governed separately by your agreement with Stripe.
Billing & Renewals
- Monthly subscriptions auto-renew on the same day each month.
- Annual subscriptions auto-renew on the annual anniversary date.
- You will receive a renewal reminder at least 7 days before your billing date.
- To cancel auto-renewal, you must notify us at least 5 business days before the renewal date.
- Subscription fees are non-refundable except as expressly stated in these Terms or required by applicable law.
Failed Payments
If a payment fails, Online eMenu will retry the charge up to three times over a 7-day period. If payment is not successfully collected within 14 days of the original due date, access to the platform will be suspended until the outstanding balance is settled. Suspended accounts retain their data for 60 days, after which the account may be permanently deleted.
Free Trial
14-day free trial — no credit card required. Start exploring Online eMenu with full access to all platform features. No payment information is needed to begin your trial.
Online eMenu offers a 14-calendar-day free trial to new customers. The trial provides full, unrestricted access to all features included in the Professional plan.
The following conditions apply to free trials:
- Free trials are available to new customers who have not previously held a paid subscription or a prior trial.
- No credit card or payment information is required to begin a free trial.
- At the end of the 14-day trial period, your account will be paused automatically. No charges are incurred unless you choose to subscribe.
- A paused account retains all data (menu configurations, customers, orders) for 30 days, giving you time to activate a subscription without data loss.
- Online eMenu reserves the right to limit or revoke free trial access if abuse of the trial offering is suspected (e.g. repeated registrations by the same entity).
- We may contact you during the trial period to offer onboarding assistance and product guidance.
To continue using the Services after the trial ends, simply select a subscription plan and provide your payment details within the platform or by contacting our sales team.
Acceptable Use
By accessing the Services, you agree to use them only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account.
You agree NOT to:
- Conduct illegal activity: Use the Services to engage in, facilitate, or promote any activity that is illegal under applicable law, including fraud, money laundering, tax evasion, or sale of prohibited goods.
- Resell or sublicense access: Resell, sublicense, rent, lease, or otherwise provide access to the Services to third parties without prior written consent from Online eMenu. White-label or reseller arrangements require a separate written Partner Agreement.
- Reverse engineer the platform: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code or underlying architecture of the Services, except to the limited extent permitted by applicable law.
- Interfere with the platform: Introduce malware, viruses, or malicious code; conduct denial-of-service attacks; scrape the platform using automated tools; or otherwise interfere with the integrity or performance of the Services.
- Misrepresent identity: Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
- Violate third-party rights: Upload, post, or transmit content that infringes any intellectual property right, or that is defamatory, obscene, or otherwise objectionable.
- Circumvent security measures: Attempt to gain unauthorized access to any account, system, or network connected to the Services.
- Export data in bulk without authorization: Use automated means to extract customer or menu data beyond what is needed for your own business operations.
Consequences of Violation
Online eMenu reserves the right to immediately suspend or terminate your account, without notice or refund, if we reasonably believe you have violated this Acceptable Use Policy. We may also report violations to appropriate law enforcement authorities.
Data & Privacy
Your privacy is important to us. Our Privacy Policy describes in detail how we collect, process, store, and protect personal data. The Privacy Policy is incorporated into these Terms by reference and forms part of the agreement between you and Online eMenu.
Customer Data Ownership
You, the Customer, retain full ownership of all data you input into the Services, including but not limited to: menu content, customer records, order history, loyalty data, and any other business data ("Customer Data"). Online eMenu claims no ownership rights over Customer Data.
Online eMenu as Data Processor
With respect to any personal data of your customers or employees that is processed through the Services, Online eMenu acts as a data processor on your behalf, and you act as the data controller. Online eMenu will process such personal data only:
- In accordance with your documented instructions;
- As necessary to provide the Services; and
- As required by applicable law.
Online eMenu implements appropriate technical and organizational security measures to protect Customer Data against unauthorized access, loss, or destruction. These measures include data encryption at rest and in transit, role-based access controls, and regular security audits.
Data Portability
You may export your Customer Data at any time while your subscription is active using the built-in data export tools in the platform. Upon termination of your account, Customer Data is available for export for 30 days following termination, after which it will be permanently deleted from our systems.
GDPR (EU Customers)
For customers processing personal data of individuals located in the European Economic Area (EEA), Online eMenu enters into a Data Processing Agreement (DPA) that satisfies the requirements of the General Data Protection Regulation (GDPR). Please contact sales@onlineemenu.com to request a DPA.
Intellectual Property
Online eMenu Intellectual Property
The Online eMenu name, logo, branding, website, software, platform features, documentation, and all related intellectual property rights are owned exclusively by Online eMenu FZ-LLC or its licensors. Nothing in these Terms transfers any ownership of Online eMenu's intellectual property to you.
Online eMenu's platform is built on Odoo, which is licensed under the Odoo Enterprise License and the GNU Lesser General Public License (LGPL v3) for community components. The Odoo name and trademarks are the property of Odoo S.A. Online eMenu is an authorized Odoo partner and has the right to offer Odoo-based services to its customers.
Licence to Use the Services
Subject to your compliance with these Terms and payment of applicable fees, Online eMenu grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business operations during the subscription term.
This licence does not include the right to: (a) sublicense the Services to any third party; (b) modify, adapt, translate, or create derivative works of the platform; or (c) use the Services to build a competing product.
Customer Content
You retain full ownership of all content you create, upload, or configure within the platform, including your menu items, images, descriptions, pricing, promotional content, and customer communications ("Customer Content"). You grant Online eMenu a limited licence to host, display, and process Customer Content solely as necessary to provide the Services to you.
You represent and warrant that you own or have the necessary rights to all Customer Content you upload, and that such content does not infringe any third-party intellectual property rights.
Limitation of Liability
To the maximum extent permitted by applicable law, Online eMenu's total aggregate liability to you for any claims arising out of or related to these Terms or the Services — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total subscription fees paid by you to Online eMenu in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by applicable law, Online eMenu shall not be liable for any:
- Loss of profits, revenue, or anticipated savings;
- Loss of business, contracts, or business opportunity;
- Loss of goodwill or reputation;
- Loss of or damage to data beyond what is recoverable from our most recent backup;
- Indirect, consequential, special, incidental, or punitive damages of any kind;
- Losses arising from your reliance on the Services for regulatory compliance without independent verification.
These limitations apply even if Online eMenu has been advised of the possibility of such damages and even if any remedy fails of its essential purpose.
Nothing in these Terms limits Online eMenu's liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.
The Services are provided "as is" and "as available." Online eMenu makes no warranties, express or implied, regarding the Services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
Termination
Termination by Customer
You may cancel your subscription at any time by providing at least 30 days' written notice to Online eMenu. Notice may be given by emailing sales@onlineemenu.com with the subject line "Account Cancellation" or through the account settings in the platform. Your access will continue until the end of the current billing period.
No refunds are issued for the unused portion of a current billing period, except where required by applicable consumer protection law.
Termination by Online eMenu
Online eMenu may terminate your subscription by providing at least 30 days' written notice to the email address associated with your account, for any reason, including:
- Discontinuation of the Services or a specific feature;
- Material changes to our business model; or
- Any other lawful reason.
Online eMenu may terminate your account immediately and without notice if:
- You materially breach these Terms and fail to remedy the breach within 14 days of written notice;
- You violate the Acceptable Use Policy;
- Continued provision of the Services would violate applicable law; or
- You become insolvent, are subject to bankruptcy proceedings, or make an assignment for the benefit of creditors.
Effect of Termination & Data Export
Upon termination of your account for any reason:
- Your access to the Services will cease;
- Your Customer Data will remain available for export for 30 days following the termination date. You are encouraged to export your data promptly;
- After 30 days, Online eMenu will permanently delete your Customer Data from its systems (subject to any legal retention obligations);
- Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, governing law, and indemnification — shall survive.
Data export: We provide a full data export tool (CSV, Excel, and JSON formats) accessible from your account dashboard at any time while your account is active or during the 30-day post-termination window.
Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to its conflict of law principles.
Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve it informally by contacting sales@onlineemenu.com. Most disputes can be resolved within 30 days through good-faith discussion.
If a dispute cannot be resolved informally within 30 days, it shall be finally resolved by arbitration administered by the DIFC-LCIA Arbitration Centre in accordance with its rules, with the seat of arbitration in Dubai, DIFC, and conducted in the English language. The arbitral award shall be final and binding on both parties.
Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent or restrain actual or threatened infringement of intellectual property rights.
Jurisdiction-Specific Provisions
- GCC Customers (Saudi Arabia, Kuwait, Qatar, Bahrain, Oman): UAE law as described above applies. Where mandatory local consumer protection laws in your jurisdiction provide additional rights, those rights are not excluded by these Terms.
- European Union & EEA Customers: The General Data Protection Regulation (GDPR) applies additionally in respect of all personal data processing. Nothing in these Terms limits rights afforded to you under applicable EU consumer protection legislation.
- Indian Customers: The Indian Information Technology Act 2000 (as amended), the Information Technology (Amendment) Act 2008, and the Digital Personal Data Protection Act 2023 apply additionally. For Indian customers, disputes may also be submitted to arbitration in accordance with the Arbitration and Conciliation Act 1996 of India, at the election of the Customer.
- United Kingdom Customers: English law and the courts of England and Wales have non-exclusive jurisdiction for UK-based customers where required by applicable law.
Changes to These Terms
Online eMenu reserves the right to modify these Terms at any time to reflect changes in our Services, business practices, or applicable law.
For material changes — changes that affect your rights or obligations in a significant way — we will provide at least 30 days' advance notice by:
- Sending an email to the address associated with your account; and
- Displaying a prominent notice within the Online eMenu platform dashboard.
For non-material changes (such as typographical corrections, clarifications, or changes that do not affect your core rights), we may update these Terms immediately and note the revised date at the top of this page.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and may cancel your subscription before the changes take effect. In that case, you will receive a prorated refund of any prepaid subscription fees for the unused portion of your subscription term.
We encourage you to review these Terms periodically. The date at the top of this page indicates when the Terms were last updated.
